High Court Restoration
High Court Restoration of a Dissolved Irish Company
If your Irish company has been struck off and dissolved for more than 12 months (or more than six years in the case of an Owners’ Management Company), the option to restore the company by administrative restoration through the Registrar of Companies is generally no longer available.
However, provided that 20 years has not elapsed from its dissolution date, an application can be made to the High Court for the restoration of the company.
High Court Restoration is available where the company was dissolved following:
(a) a Voluntary Strike off;
(b) an Involuntary strike off by the Registrar for non-filing of Annual Returns; or
(c) an Involuntary strike off by the Registrar at the request of the Revenue Commissioners for failure to deliver a Statement of Particulars.
Note: Where a company has been dissolved following the completion of a liquidation, an application to have the dissolution declared void must be made within 2 years of the date of dissolution.
